INTRODUCTION

These Terms of Service ("Terms," "ToS," or "Agreement") are a legally binding agreement governing your use of all products and services provided by Beamr Imaging Ltd. ("Beamr," "we," "us," "our"), including:

 ● The website located at www.jpegmini.com (the "Website") 

● The JPEGmini desktop software application (the "Software")

 ● The cloud-based video compression service (the "Cloud Video Service") 

● Any related services, features, or content (collectively, the "Services")

By accessing, downloading, installing, or using any of our Services, you ("User," "you," "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.

1. ACCEPTANCE AND MODIFICATIONS

1.1 Agreement to Terms

By using our Services or purchasing our Software, you represent that:

● If you are between 13-17, you have obtained parental consent 

● If representing a business, you have authority to bind that entity

1.2 Modifications

We reserve the right to modify these Terms at any time. Material changes will be effective 30 days after notice. Continued use constitutes acceptance of updated Terms. For legal compliance or security updates, changes may be effective immediately.

Desktop Software: Subject to our End User License Agreement (EULA) 

Cloud Video Service: Subject to additional cloud service terms herein 

Enterprise Services: Subject to separate enterprise agreements

2. DESCRIPTION OF SERVICES

2.1 Website Services

Our Website provides: 

● Information about JPEGmini products and services 

● Account creation and management 

● Software downloads 

● Customer support resources 

● Marketing and educational content

2.2 Desktop Software

Our desktop Software provides image and video compression technology available through one-time purchase licenses:

Free Trial: 7-day trial with full functionality

Pro License: One-time purchase with enhanced features and unlimited processing 

Pro Suite License: One-time purchase with advanced integrations and priority support

Upgrades: Optional paid upgrades to newer software versions

2.3 Cloud Video Service

Our Cloud Video Service provides temporary cloud-based video compression with: 

● 7-day temporary storage period 

● Automatic deletion after storage period 

● Shareable download links 

● Encrypted processing and storage

2.4 Service Availability

We strive to maintain service availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, legal compliance, or force majeure events.

3. SOFTWARE LICENSING AND WEBSITE USAGE

3.1 Software License

Desktop Software is provided under a one-time license purchase model:

License Purchase: One-time payment grants permanent license to use current version 

Trial License: 7-day free trial with full functionality 

Upgrade Options: Optional paid upgrades to newer versions 

License Transfer: Licenses are non-transferable and tied to specific users/devices

3.2 Website Usage

Our Website and Cloud Video Service are available without account registration: 

No Account Required: Access services directly through website 

Anonymous Usage: Video processing available without personal information 

Session-Based: Service usage tracked per browser session 

No Data Retention: Personal data not stored beyond service delivery

3.3 User Responsibility

You are solely responsible for: 

● Proper use of licensed Software

● Any content uploaded or processed through our Services 

● Compliance with these Terms

● Maintaining backup copies of your content

4. SOFTWARE LICENSING AND PAYMENTS

4.1 License Types

We offer software licenses with different features and capabilities as described on our Website and in our End User License Agreement (EULA).

4.2 Payment Terms

For software purchases: 

One-Time Payment: Single payment grants permanent license to current version

Trial Period: 7-day free trial with full functionality

Payment Processing: Payments processed by third-party providers (FastSpring) 

Currency: Prices displayed in applicable local currency 

Taxes: Applicable taxes added at checkout

4.3 Refunds and Licenses

Refund Policy: Refunds available within 30 days of purchase if software fails to meet specifications 

License Permanence: Purchased licenses remain valid indefinitely for the purchased version 

No Subscription: No recurring payments or subscription renewals 

Upgrade Options: New versions available as optional paid upgrades

4.4 Free Trial and Website Service Limitations

Free trial and website users have certain limitations: 

Daily Processing Limits: Up to 50 images per day for website service 

Trial Period: 7 days full functionality, then license purchase required for desktop app

Feature Access: Some advanced features require purchased license

5. CONTENT AND PROHIBITED USES

5.1 Your Content Ownership

You retain ownership of all content you upload ("Your Content"). By using our Services, you grant us a limited license to process, store, and deliver Your Content solely for providing our Services.

5.2 Content Requirements

You may only upload content that

● You own or have proper authorization to use

● Does not infringe intellectual property rights 

● Complies with all applicable laws and regulations 

● Meets our community standards

5.3 Prohibited Content

You are strictly prohibited from uploading, processing, or sharing content that contains:

(a) Illegal Content: 

● Violates any applicable laws or regulations 

● Depicts or facilitates illegal activities (terrorism, trafficking, fraud)

● Features child sexual abuse imagery (CSAI) or any content that sexualizes minors 

● Infringes intellectual property without authorization 

● Involves activities with countries, regions, governments, persons, or entities that are targets of U.S. or EU sanctions

(b) Harmful Content: 

● Contains malware, viruses, or malicious code

● Attempts unauthorized system access 

● Includes personal information without consent (doxxing) 

● Contains confidential information obtained illegally

(c) Violent Content: 

● Depicts, glorifies, or promotes violence 

● Contains credible threats of harm

 ● Shows graphic violence or brutality 

● Provides weapons creation instructions

(d) Hate Speech and Harassment:

● Promotes hatred, discrimination, or violence based on race, ethnicity, religion, gender, sexual orientation, nationality, disability, age, or other protected characteristics

● Contains symbols, imagery, or content associated with hate groups or extremist organizations

● Harasses, bullies, intimidates, stalks, or threatens individuals or groups

● Constitutes hate speech directed at individuals or groups based on protected characteristics

(e) Sexual Content: 

● Contains pornographic or sexually explicit material

● Depicts non-consensual sexual acts

● Sexualizes or exploits minors

(f) Fraud and Deception: 

● Misrepresents identity or source 

● Contains intentionally false information to cause harm 

● Promotes scams or fraudulent schemes ● Impersonates others without permission

(g) Privacy Violations: 

● Contains non-consensual intimate imagery 

● Includes private communications without authorization 

● Violates surveillance or privacy laws

5.4 Commercial Use Guidelines

Personal Use: Website and trial services intended for personal use 

Commercial Use: Purchased software licenses may be used commercially

Enterprise Use: Large-scale commercial deployment may require Enterprise licensing 

Reselling Prohibited: Cannot resell or white-label our Services without written permission

5.5 Technical Restrictions

You may not: 

● Reverse engineer or bypass usage limitations 

● Use automated scripts without approval 

● Attempt to overwhelm our infrastructure

 ● Access Services through unauthorized means

5.6 Sanctions and Export Compliance

You may not use our Services: 

● For activities involving countries, regions, governments, persons, or entities that are targets of U.S., EU, or other applicable sanctions 

● If you are located in or maintain residence in embargoed countries (including Cuba, Iran, North Korea, Syria, and Crimea) 

● If you are listed on any government denied persons or restricted parties lists 

● For any purposes prohibited by export control laws

You represent and certify that you are not subject to economic sanctions and will comply with all applicable trade restrictions.

6. CONTENT MODERATION AND ENFORCEMENT

6.1 Monitoring Rights

We reserve the right, but not the obligation, to: 

● Monitor and scan uploaded Content using automated detection systems and manual review 

● Employ content detection technologies including hash matching, machine learning, AI analysis, and third-party security services 

● Use human and automated means to detect or receive reports of suspected violations 

● Cooperate with law enforcement agencies regarding illegal content and investigations

● Preserve Content and user information for legal proceedings when required by law or court order ● Share information with third parties as necessary to comply with legal obligations

Detection Methods: Our content moderation may include automated scanning for known illegal content, pattern recognition for prohibited material, and analysis of file metadata and characteristics.

6.2 Enforcement Actions

Upon discovery or notification of prohibited content or suspected violations, we may: 

● Immediately remove or disable access to Content

● Temporarily block Content while investigating potential violations 

● Suspend processing for specific users or IP addresses during investigations

 ● Terminate software licenses for serious violations

● Block access to Services from specific devices or networks

● Report violations to appropriate law enforcement authorities

● Preserve and provide Content or information to third parties when legally required 

● Retain evidence for legal proceedings and compliance purposes

Investigation Process: While investigating suspected violations, we may temporarily restrict access to Services or specific features. Based on investigation results, we may implement temporary or permanent restrictions as outlined in Section 13.4.

6.3 User Reporting

Users can report violations to: abuse@jpegmini.com

Reports should include:

● Specific content location or description 

● Type of violation

 ● Supporting evidence

We will respond to valid reports within 72 hours.

6.4 Appeals Process

If your content is removed or Service access is restricted:

 ● Contact support@jpegmini.com within 30 days

 ● Provide explanation and supporting evidence 

● We will review within 5 business days 

● Final decisions rest with Beamr

7. CLOUD VIDEO SERVICE TERMS

7.1 Temporary Storage

● Videos stored for exactly 7 days 

● Automatic permanent deletion after storage period 

● No backup or archival service provided 

● User responsible for downloading before expiration

7.2 Sharing and Access

● Generate shareable links for compressed videos 

● Links expire when storage period ends 

● Recipients can download during active period 

● User controls all sharing permissions

7.3 Security and Privacy

● Videos encrypted during upload, storage, and download 

● Treated as confidential but security not guaranteed 

● No liability for unauthorized access or data breaches 

● Compliance with applicable data protection laws

7.4 Service Limitations

● No guarantee of continuous availability 

● May be unavailable during maintenance

● Processing may fail due to technical issues 

● No liability for service interruptions

8. INTELLECTUAL PROPERTY

8.1 Our Intellectual Property

All rights in our Services, including software, algorithms, designs, trademarks, and content, belong exclusively to Beamr. These Terms grant no ownership rights to users.

8.2 User Content Rights

● You retain ownership of Your Content 

● We claim no ownership rights in Your Content 

● Our license to Your Content is limited to providing Services 

● License terminates when content is removed

8.3 DMCA Compliance

We respect intellectual property rights and comply with the Digital Millennium Copyright Act.

Copyright Takedown Requests:

● Identification of copyrighted work 

● Location of alleged infringement 

● Your contact information 

● Good faith statement

● Electronic signature

Counter-Notifications:

 If content wrongly removed, send counter-notice with: 

● Identification of removed content 

● Statement of good faith belief in lawful use

● Consent to jurisdiction ● Electronic signature

8.4 Repeat Infringer Policy

Accounts with multiple substantiated copyright violations will be permanently terminated.

9. PRIVACY AND DATA PROTECTION

10.2 Content Disclaimers

WE DISCLAIM ALL LIABILITY FOR: 

● User-generated content 

● Accuracy or legality of user content 

● Third-party claims arising from user content 

● Loss or corruption of content during processing

10.3 Cloud Service Disclaimers

FOR CLOUD VIDEO SERVICE, WE SPECIFICALLY DISCLAIM: 

● Continuous availability of stored videos

● Successful download before expiration 

● Protection against all unauthorized access 

● Retention beyond temporary storage period

11. LIMITATION OF LIABILITY

11.1 Liability Cap

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF NO AMOUNT WAS PAID.

11.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR: 

● Lost profits or revenue

 ● Lost or corrupted data 

● Business interruption 

● Special, indirect, incidental, or consequential damages 

● Punitive damages

11.3 Force Majeure

We are not liable for failures due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or cyber attacks.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Beamr and its affiliates, officers, directors, and employees from all claims, damages, losses, and expenses (including attorney fees) arising from: 

● Your use of our Services 

● Your violation of these Terms 

● Your content or conduct 

● Third-party claims related to your activities

13. LICENSE TERMINATION

13.1 Termination by You

You may discontinue use of our Services at any time. Software licenses remain valid unless terminated under these Terms.

13.2 Termination by Us

We may terminate software licenses or block Service access for: 

● Violation of these Terms

● Illegal content uploads or processing 

● Abuse of our Services or infrastructure 

● Fraudulent license acquisition

13.3 Effect of Termination

Upon license termination: 

● Your right to use the Software immediately ends 

● You must cease all use of our Services 

● Any content in Cloud Video Service may be immediately deleted 

● These Terms survive to the extent necessary

13.4 Service Access Restrictions

Users blocked for: 

Illegal content: Permanent ban from all Services 

Hate speech/harassment: 12-month Service restriction

Copyright violations: 6-month restriction with education requirement

13.5 Data Retention and Inactive Accounts

Inactive Account Management: 

Free website service: Content automatically deleted after 7 days 

Software licenses: Remain valid regardless of usage frequency 

Support accounts: May be suspended after 12 consecutive months of inactivity 

Enterprise accounts: Subject to separate retention agreements

Content Deletion Triggers: 

● User-initiated deletion 

● Service violations or termination 

● Legal compliance requirements 

● Technical maintenance requirements

14. LEGAL COMPLIANCE AND COOPERATION

14.1 Law Enforcement Cooperation

We will cooperate with legitimate law enforcement requests including: 

● Data preservation pursuant to legal process 

● Information disclosure with proper authorization 

● Emergency disclosures to prevent imminent harm

● Testimony when legally compelled

14.2 Export Controls

You may not use our Services if you are: 

● Located in embargoed countries

● On government denied persons lists

If any provision is found unenforceable, it will be modified to the minimum extent necessary, and remaining provisions will remain in effect.

16.3 Assignment

You may not assign these Terms without our written consent. We may assign these Terms at our discretion.

16.4 Waiver

Our failure to enforce any provision does not constitute a waiver of our rights.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

16.6 Third-Party Services

Our Services may integrate with third-party services. We are not responsible for third-party services or their terms.

16.7 Government Users

If you are a Government entity, additional restrictions apply as specified in our EULA.
